Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Boston304 LLC doing business as Braatz Innovations ("Company", "we", "our", "us") regarding your use of the LastList application ("App") and the LastList website at lastlistapp.com ("Site").

By accessing or using LastList, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use LastList.

1. Description of Service

LastList is a list and planning application that helps users:

• Create and organize lists — shopping, inventory, tasks, wishlists, packing, and notes
• Discover nearby stores based on location
• Search for products across multiple retailers
• Compare prices and availability
• Plan shopping trips efficiently
• Share lists and collaborate with others (including real-time synced inventory lists)
• Access retailer websites for purchases

LastList is a planning and discovery tool. We do not sell products directly, process payments, or fulfill orders. All purchases are completed through third-party retailers.

2. Accounts & Access

During the beta period, LastList requires an email address and password to manage limited access. You may also sign in with Google to link your account and enable Cloud Sync. You are responsible for maintaining the confidentiality of your login credentials.

Google Sign-In: If you sign in with Google, we receive your basic profile information (name, email, photo) via Google OAuth 2.0. We do not access your Google password, contacts, calendar, or any other Google services. You can revoke access at any time in your Google Account settings.

3. Data Storage

Your lists, preferences, and planning data are stored locally on your device using browser storage. Certain features involve server-side storage: shared lists (shopping, wishlist, and inventory) are stored on our servers so participants can access them, beta account credentials are stored for access management, and Cloud Sync data is stored on our servers if you opt in.

Important:

• Clearing your browser data will permanently delete your local data — use Cloud Sync to back up first
• Cloud Sync (optional) lets you manually push your lists and preferences to our servers and pull them to other devices by signing in with Google
• Shared lists stored on our servers can be deleted upon request, or are automatically purged 7 days after all participants leave
• You are responsible for any data you choose to store locally or sync to the cloud

4. List Sharing & Collaboration

LastList allows you to share lists with others. By using the sharing feature, you agree to the following:

• Shared Content: When you share a list, its contents (item names, quantities, product references, and check status) are stored on our servers and visible to all approved participants.
• Participant Roles: Shared inventory lists use a manager/member model. Managers can approve or reject join requests, promote or demote participants, and remove participants. The list creator is the first manager.
• Participant Responsibility: You are responsible for the content you add to shared lists. Do not add offensive, illegal, or harmful content.
• Real-Time Sync: Changes made by any participant to a shared inventory list are synced to all other participants. Edits, additions, and deletions are reflected across all devices.
• Access Control: Manager approval is required for new participants to join shared inventory lists. Previously approved participants can rejoin automatically.
• Leaving & Removal: Any participant can leave a shared list at any time. Managers can remove other participants. When all participants leave, the shared list data is automatically deleted after 7 days.
• No Guarantee of Availability: Shared list sync depends on server connectivity. We do not guarantee real-time delivery or data consistency during network interruptions.

5. Optional Features

Certain features require additional permissions or opt-in consent:

• Location Access: Required for store discovery. You may enter your ZIP code manually instead.
• Smart Habits: Optional personalization feature that learns your preferences. Off by default and requires explicit opt-in.
• Cloud Sync: Optional backup feature that stores your lists and preferences on our servers. Requires signing in with Google. You manually control when data is pushed or pulled. A 5 MB data limit applies.

You can disable these features at any time in the App settings.

6. Acceptable Use

You agree not to:

• Use LastList for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble the App
• Use automated scripts, bots, or scrapers to access the service
• Interfere with or disrupt the App's functionality
• Circumvent any security measures or access restrictions
• Use the App to harm, harass, or defraud others
• Resell, redistribute, or commercially exploit the App without permission

7. Third-Party Services

LastList integrates with third-party services to provide product data and store information:

• Retailer APIs: Product data from Walmart, Kroger, Best Buy, and other retailers
• Google Places: Store discovery and location services
• Google OAuth: Authentication for Cloud Sync (basic profile only — name, email, photo)
• Delivery Services: Availability information from Instacart and similar services

When you click through to a retailer or delivery service, you leave LastList and are subject to that service's terms and privacy policy. We are not responsible for third-party content, services, or practices.

8. Affiliate Links & Compensation

LastList may include affiliate links to retailers. If you make a purchase through an affiliate link, we may earn a commission at no additional cost to you. Affiliate relationships do not influence product recommendations or search results.

9. Product & Pricing Information

Product information displayed in LastList (prices, availability, descriptions, images) comes from third-party retailer APIs. While we strive for accuracy, we do not guarantee that this information is current, complete, or error-free.

We are not responsible for:

• Price changes between viewing in LastList and purchasing from a retailer
• Products being out of stock or unavailable
• Inaccurate product descriptions or images
• Retailer policies regarding returns, shipping, or customer service

Always verify prices and availability on the retailer's website before purchasing.

10. Intellectual Property

LastList, including its design, features, code, and content, is owned by Boston304 LLC and protected by copyright, trademark, patent, and other intellectual property laws. Patent Pending — U.S. Provisional Application No. 63/996,413.

Product names, logos, and images displayed in the App belong to their respective owners and are used for identification purposes only.

You may not copy, modify, distribute, or create derivative works based on LastList without our express written permission.

11. Disclaimer of Warranties

LASTLIST IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, error-free, or secure
• Results obtained from the App will be accurate or reliable
• Any errors will be corrected
• The App will meet your specific requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOSTON304 LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF LASTLIST.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF LASTLIST SHALL NOT EXCEED THE AMOUNT YOU PAID TO USE THE SERVICE (WHICH IS $0 FOR FREE USERS).

13. Indemnification

You agree to indemnify, defend, and hold harmless Boston304 LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of LastList or violation of these Terms.

14. Termination

We reserve the right to suspend or terminate access to LastList at any time, for any reason, without notice. You may stop using LastList at any time by uninstalling the App or closing the browser tab.

Upon termination, provisions regarding intellectual property, disclaimers, limitations of liability, and indemnification shall survive.

15. Changes to Terms

We may update these Terms at any time. Changes take effect immediately upon posting. Your continued use of LastList after changes are posted constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically.

16. Governing Law

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of LastList shall be resolved in the courts of Wisconsin.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Affiliate Disclosure, constitute the entire agreement between you and Boston304 LLC regarding your use of LastList.
